Business Summary
The Princeton Review, Inc. helps students and families achieve their educational and career goals, elementary and secondary schools maximize their effectiveness, and colleges and graduate schools attract greater numbers of qualified applicants at lower cost. The Company was founded in 1981 as an SAT preparation course. Today, the Company provides preparation for the SAT, as well as for most of the other major post-secondary and graduate admissions tests. In 2000, the Company and its franchisees provided courses to more than 100,000 students in over 500 locations in the United States and abroad. Princeton also authors more than 150 book and software titles on test preparation, college selection and related topics, which are published primarily by Random House. In 1998, the Company began providing Princeton Review branded test preparation content for kindergarten through twelfth grade (K-12) textbooks and workbooks published by McGraw-Hill.

Financial Summary
REVU provides integrated online, print and classroom-based products and services to address the needs of students, parents, educators and educational institutions. For the six months ended 6/30/01, revenues rose 41% to $28.6 million. Net loss applicable to Common and before extraordinary item rose from $4.5 million to $9.7 million. Revenues reflect acquisitions, increased enrollment and college marketing fees. Net loss reflects the absence of $7.6 million in gains from the sale of securities.
