Business Summary
Southern Union Company is a natural gas utility. Its principal line of business is the distribution of natural gas as a public utility through its operating divisions principally in Texas, Missouri, Florida and Pennsylvania since November 1999 and Rhode Island and Massachusetts, effective with three acquisitions completed in September 2000. Southern Union Gas, headquartered in Austin, Texas, serves approximately 523,000 customers in Texas (including Austin, Brownsville, El Paso, Galveston, Harlingen, McAllen and Port Arthur). Missouri Gas Energy, headquartered in Kansas City, Missouri, serves approximately 491,000 customers in central and western Missouri. PG Energy, headquartered in Wilkes-Barre, Pennsylvania, serves approximately 154,000 customers in northeastern and central Pennsylvania. SFNG, headquartered in New Smyrna Beach, Florida, serves approximately 5,000 customers in central Florida (including New Smyrna Beach, Edgewater and areas of Volusia County, Florida).

Financial Summary
Sothern Union Co. is primarily engaged in the distribution and sale of natural gas to residential, commercial and industrial customers in Texas, Missouri and Florida. For the nine months ended 3/01, revenues totalled $1.66 billion, up from $669.2 million. Net income before accounting change totalled $45.5 million, up from $20.5 million. Revenues reflect increased gas sales volume and the acquisition of the Pennsylvania operations Earnings reflect increased margins.
