Fairchild Semiconductor International, Inc., established in 1959, is an independent semiconductor company focused solely on multi-market products. The Company designs, develops and manufactures a broad range of products used in a wide variety of microelectronic applications, including personal computer, industrial, telecommunications, consumer products and automotive systems. The Company's products are organized into four principal product groups: Analog and Mixed Signal Products, Discrete Products, Interface and Logic Products, and Other Products, which includes non-volatile memory, optoelectronics and contract manufacturing.

Financial Summary
Fairchild Semiconductor designs, develops and markets analog, discrete, logic and non-volatile memory semiconductors. For the six months ended 7/1/01, revenues fell 10% to $757.7 million. Net loss totaled $6.4 million vs. an income of $109.7 million. Revenues reflect an industry-wide market slowdown. Net loss also reflects lower prices, decreased unit volumes, unfavorable shift in product mix and lower capacity utilizations.
