Macromedia, Inc. develops, markets, and supports software products, technologies, and services that enable people to define what the Web can be. The Company's customers, from developers to enterprises, use Macromedia solutions to help build compelling and effective Websites and eBusiness applications. Throughout the majority of fiscal year 2001, the Company operated in two segments: the Software segment and shockwave.com, Inc. The Software segment develops software that creates Website layout, graphics and rich media content for Internet users. shockwave.com designs, develops, and markets aggregated content to provide online entertainment on the Web. The Company currently operates in one primary business segment, the Software segment, as a result of the deconsolidation of shockwave.com.

Financial Summary
Macromedia, Inc. develops, markets and delivers software for digital media creation and delivery for Windows, Macintosh, and the Internet. For the three months ended 6/30/01, revenues decreased 6% to $88.7 million. Net loss totalled $111.8 million, vs. an income of $12 million. Revenues reflect decreased demand for Rich Media and DreamTools products. Net loss reflects $39.5 million in restructuring expenses, increased amort. of intangibles and a $26.9 million loss on equity in affiliate.
