Business Summary
C&D Technologies, Inc. is a North American producer of integrated reserve power systems for telecommunications, electronic information and industrial applications. The Company is also a producer of embedded high frequency switching power supplies. Its integrated reserve power systems are comprised of industrial lead acid batteries, power rectifiers, power control equipment, power distribution equipment and related accessories. The Company's power supplies are used in telecommunications equipment and advanced office electronic machines, such as copiers, and motive power systems for electric industrial vehicles. The Company sells both individual components and integrated power systems.

Financial Summary
CHP produces integrated reserve power systems for telecommunications, computers and office equipment. CHP also produces embedded high frequency switching power supplies. For the three months ended 4/30/01, sales rose 13% to $155.4 million. Net income rose 52% to $16.8 million. Revenues reflect increased sales by Powercom and Power Electronics Divisions. Earnings also benefitted from increased operating margin as a result of the efficiencies achieved from a higher level of revenue.
