Shoe Pavilion, Inc. is an off-price footwear retailer on the West Coast that offers a broad selection of women's and men's designer-label and brand name merchandise. As of December 30, 2000, the Company operated 80 retail stores in California, Washington, Oregon and Oklahoma, of which 79 operated under the trade name Shoe Pavilion. In addition, as of December 30, 2000, the Company operated the shoe department of 36 Gordmans, Inc. department stores in Colorado, Illinois, Iowa, Kansas, Missouri, Nebraska, Oklahoma and South Dakota under a licensing agreement entered into in July 1999. The Company offers designer and brand name footwear, such as Clarks, Dexter, Fila, Florsheim, Naturalizer, Nickles and Rockport, typically at 30% to 70% below regular department store prices for the same shoes.

Financial Summary
Shoe Pavilion, Inc. is an off-price retailer of women's and men's designer label and name brand shoes in the West Coast. For the three months ended 3/31/01, net sales increased less than 1% to $19.4 million. Net loss totalled $29 thousand vs. a net income of $229 thousand. Revenues benefitted from sales associated with new store openings. Net loss reflects an increase in inventory reserves, higher merchandise costs and higher base rent expense.
