Business Summary
LeCroy Corporation, through August 2000, operated in two business segments, the Test and Measurement segment (T&M) and the Vigilant Networks segment. The T&M segment, using its core competency of capturing and analyzing complex electronic signals, develops, manufactures, sells and licenses signal acquisition and analysis products. Its principal product line consists of a family of high-performance digital oscilloscopes used primarily by electrical design engineers in various markets, including communications test, data storage, power measurement and automotive. The T&M segment also produces modular digitizers, embedded signal analyzers and various electronic components. In addition, it generates revenue by offering service on all of its products beyond the normal warranty period. In August 2000, the Company announced its intention to divest the Vigilant Networks business.

Financial Summary
LeCroy Corporation develops, manufactures, sells and licenses signal analyzers, principally high-performance digital oscilloscopes and LAN network analyzers. For the nine months ended 3/31/01, revenues rose 15% to $100.9 million. Net income applicable to common from continuing operations before acct. change fell 12% to $3.8 million. Results reflect the launch of the next generation of oscilloscope products, partially offset by the absence of a $2.5 million gain on the sale of mktbl. securities.
