Business Summary
Westfield America, Inc. is a real estate investment trust specializing in enclosed shopping centers. As of December 31, 2000, the Company had interests in 39 major shopping centers branded as "Westfield Shoppingtowns". The Company's portfolio of Westfield Shoppingtowns includes clusters of shopping centers in markets in the east coast, midwest and west coast regions of the United States. As of December 31, 2000, Westfield Shoppingtowns had 137 Anchors (department stores generally occupying more than 80,000 square feet) totaling approximately 21.8 million square feet of gross leasable area (Anchor GLA), or 57.7% of Total GLA. The Company has shopping centers in nine states that comprise 37.7 million square feet of retail and office space. The majority of the Company's centers are clustered in markets that serve nearly 24.5 million people. The Company's major markets include San Diego, Los Angeles, San Jose, St. Louis, Connecticut and Washington D.C.

Financial Summary
WEA is a real estate investment trust engaged in owning, operating, leasing, developing, redeveloping and acquiring super regional and regional shopping centers and power centers in the US. For the six months ended 6/30/01, revenues rose 4% to $263.7 million. Net loss before acct. change applicable to Com. totalled $18.6 million vs. an income of $5.8 million. Revenues reflect increased occupancy and higher minimum rents. Loss reflects the inclusion of swap reversal costs.
