Business Summary
Bionova Holding Corporation acts as a holding company for its 80%-owned subsidiary, Agrobionova, S.A. de C.V. (ABSA), and its wholly owned subsidiaries, International Produce Holding Company (IPHC), DNA Plant Technology Corporation (DNAP) and VPP Corporation (VPP). Approximately 76.6% of the outstanding common stock of the Company is indirectly owned by Savia, S.A. de C.V. On December 28, 2000, Bionova entered into a purchase agreement with Savia to sell its ABSA business to Savia. This purchase includes IPHC, as well as certain assets held by DNAP or its subsidiaries, including the brand names and germplasm being used in connection with ABSA. If the sale is approved, the Company will retain only the research and development business, and focus on its functional genomics activity.

Financial Summary
BVA is a holding company for Agrobinovia, S.A. de C.V. (grows fruits and vegetables in Mexico), International Produce (marketing and distribution), DNA Plant Tech. Corp. and VPP (agribusiness biotechnology companies). For the six months ended 6/30/01, revenues fell 56% to $942 thousand. Net loss from continuing operations and before extraordinary item rose 16% to $13.9 million. Results reflect reduced revenues from the Seminis contract and lower royalty revenues, and a $2.1 million impairment charge.
