Business Summary
U.S. Office Products Co. supplies office products and business services to corporate customers. The Company serves a broad range of business customers in North America, New Zealand and Australia. The Company also owns Mail Boxes Etc., which franchises retail business, communications and postal service centers around the world (MBE). In addition, the Company owns 49% of Dudley Stationery Limited, a contract stationer in the United Kingdom. The Company's business units include U.S. Office Products--North America; vending and office coffee service businesses operated under the USRefresh name; MBE, a franchisor of retail business, communications and postal service centers, and the Blue Star Group Limited (New Zealand) and Blue Star Group Pty. Limited (Australia) subsidiaries, which own and operate bookstore chains. In March 2001, the Company announced that it and certain subsidiaries have filed petitions for reorganization under Chapter 11 of the U.S. Bankruptcy Code.

Financial Summary
U.S. Office Products Co. sells a variety of office and educational products to corporate, commercial, industrial and educational customers. For the nine months ended 1/27/01, revenues decreased 19% to $1.53 billion. Net loss before extraordinary item totaled $804.1 million, up from $81.2 million. Revenues reflect the sale of 13 businesses during fiscal year 2000. Net loss reflects the divestiture of several high margin businesses and a change in the amortization period.
