OMNI Rail Products, Inc., through its subsidiary OMNI Products, Inc., designs, engineers, manufactures, and markets highway-railroad grade crossing surface products primarily for the United States market. The Company's products offer a full spectrum of crossing materials and price points to meet the customer's varying needs. OMNI's premium products include crossings manufactured from full-depth virgin rubber, reinforced concrete and concrete-rubber combinations. The Company also provides high quality molded virgin rubber flangeway filler, or railseal, and extruded virgin rubber railseal product. The railseal products are typically used in conjunction with asphalt crossings. OMNI's products are approved by all major North American Class 1 railroads, such as Burlington Northern-Santa Fe, CSX Transportation, Union Pacific and many regional railroads and transit systems.

Financial Summary
OMNI Rail Products, Inc. designs, engineers, manufactures and markets premium grade crossing surface products, including crossings manufactured from virgin rubber, reinforced concrete and a combination of rubber and concrete. For the nine months ended 1/31/01, sales fell 13% to $8.8 million. Net income before extraordinary item fell 59% to $418 thousand. Results reflect reduced sales of rubber highway-rail grade crossings and increased administrative expenses.
