Northrop Grumman Systems Corporation is a global aerospace and defense company. The Company provides technologically advanced products, services and solutions in defense and commercial electronics, systems integration, information technology and non-nuclear shipbuilding and systems. Northrop Grumman has operations in 44 states and 25 countries, through which it serves United States and international military, government and commercial customers. In May 2001, the Company completed the acquisition of Litton Industries, Inc., making Litton a 97%-owned subsidiary of Northrop Grumman. Litton designs, builds and overhauls non-nuclear surface ships and is a provider of defense and commercial electronics technology, components and materials for government and commercial customers world wide.

Financial Summary
Northrop Grumman provides technologically advanced products, services and solutions in defense and commercial electronics, systems integration, information and non-nuclear shipbuilding and systems. For the six months ended 6/30/01, net sales rose 97% to $3.66 billion. Net income from continuing operations fell 35% to $114 million. Results reflect increased contract acquisitions, offset by negative product mix changes and higher amortization costs.
