Business Summary
R&B, Inc. is a supplier of "hard-to-find" parts, fasteners and service-line products primarily for the automotive aftermarket. The Company designs, packages and markets over 60,000 different automotive replacement parts, fasteners and service-line products manufactured to its specifications. Hard-to-find parts are those that were traditionally available to consumers only from original equipment manufacturers or junkyards, and include, among other parts, window handles, headlamp aiming screws, power-steering filler caps, pedal pads and carburetor pre-heater hoses. Fasteners include such items as oil drain plugs and wheel lug nuts. Approximately 85% of the Company's products are sold under its brand names and the remainder are sold for resale under customers' private labels, other brands or in bulk. The Company's products are sold primarily in the United States through automotive aftermarket retailers, national, regional and local warehouse distributors and specialty markets.

Financial Summary
R and B, Inc. is engaged in the selling of a broad range of hard-to-find replacement auto parts and fasteners for the automotive aftermarket to retailers, wholesalers and others. For the 26 weeks ended 6/30/01, net sales fell 4% to $98.2 million. Net income fell 45% to $1.5 million. Revenues reflect the absence of the sale of lift support inventory. Earnings suffered from lower gross margins and increased S/G/A expenses as a percentage of total sales.
