Omni U.S.A., Inc., through its wholly owned subsidiary, Omni U.S.A., Inc., a Washington Corporation (Omni-Washington) and Omni-Washington's wholly owned subsidiary, Omni Resources, Ltd. (Omni Resources), through its wholly owned manufacturing facility, Shanghai Omni Gear Co., Ltd., designs, develops, manufactures and distributes power transmissions (also known as gearboxes or enclosed geardrives) for use in agricultural, industrial, off-highway and construction equipment. The Company, through another wholly owned subsidiary, Butler Products Corporation, designs, develops, manufactures and distributes trailer and implement jacks and couplers, which include light- and heavy-duty jacks and couplers used in a variety of trailers. The Company's products are distributed to original equipment manufacturers and distributors in North America and in several foreign countries including Argentina, Australia, Brazil, Canada, France, Mexico, New Zealand, South Africa, Thailand and Venezuela.

Financial Summary
Omni U.S.A. designs, develops, manufactures and distributes power transmissions (gearboxes or enclosed geardrives) for use in agricultural, industrial, off-highway and construction equipment. For the nine months ended 3/31/01, net sales rose 18% to $17 million. Net income totaled $19 thousand vs. a loss of $97 thousand. Results reflect aggressive marketing and pricing incentives to customers for larger orders and improved operating margins.
