Internet Commerce & Communications (ICC) is a nationwide e-commerce and communications services provider for small and medium-sized business enterprises, as well as DSL customers and dial-up residential customers. The Company's current and planned services include, among others, nationwide DSL services, dedicated connectivity, dial-up Internet access, e-commerce, Web site hosting and server co-location, local and long distance telephone services. The Company has over 100,000 customers. ICC operates more than 50 Internet points of presence and provides Internet access to 100 % of its strategic marketing areas in the United States. The Company monitors and controls its network through its Network Operations Center in Denver, Colorado. The Company also offers services through its Internet data centers and offices located in Arizona, California, Illinois, Kansas, Oklahoma, Utah, Virginia and Washington.

Financial Summary
Internet Commerce and Communications, Inc. is a nationwide e-commerce and communications services provider for small and medium-sized busniess enterprises, as well as DSL customers and dial-up residential customers. For the three months ended 3/31/01, revenues increased 17% to $13.9 million. Net loss decreased 15% to $6.7 million. Revenues reflect the acquisition of Internet Communications Corp. Net loss was partially offset by higher S/G/A expenses.
