Vision Twenty-One, Inc. is a vision care company that is mainly focused on the provision of administrative services to managed care entities. The Company manages routine vision and medical/surgical eye care programs through contracts with managed care organizations and other third-party payors. The Company's principal operating subsidiaries consist of Vision 21 Managed Eye Care of Tampa Bay, Inc. (Vision 21 MCO), Vision 21 Physician Practice Management Company, Inc. (Vision 21 PPMC), MEC Health Care Inc. and BBG-COA, Inc. and its subsidiaries, including Block Vision, Inc. The Company operates its managed care business under the brands Block Vision, Block Vision of Texas, MEC Eye Care, ESAN (Eye Specialists of Arizona) and VIPA (Vision Insurance Plans of America). Vision Twenty-One divested its physician practice management business in September 2000.

Financial Summary
Vision Twenty-One and its subsidiaries develops and manages local eye care delivery systems (LADS) in 40 markets. EYES also develops retail distribution channels for its LADS. For the three months ended 3/31/01, revenues fell 14% to $11.6 million. Net income from continuing operations before extraordinary item totalled $949 thousand vs. a loss of $4.2 million. Revenues reflect the termination of several non-profitable contracts. Lower loss reflects a decrease in operating expenses.
