Business Summary
Commercial Metals Company (CMC) operates in three business segments: manufacturing, recycling and marketing and trading. The manufacturing segment, the Company's dominant and most rapidly expanding segment, operates four steel minimills, 26 steel fabrication plants, four steel joist and two castellated and cellular beam manufacturing facilities, four steel fence post manufacturing plants, a heat treating plant, eight metals recycling plants, a railcar rebuilding facility, 22 concrete related product warehouses, an industrial products supply facility and a railroad salvage company. The recycling segment is engaged in processing secondary, or scrap, metals for further recycling into new metal products. The marketing and trading segment buys and sells primary and secondary metals, fabricated metals and other industrial products through a network of trading offices located around the globe.

Financial Summary
Commercial Metals Company manufactures, recycles, and markets steel and metal products and related materials. CMC also trades primary and secondary metals and other industrial products worldwide. For the nine months ended 5/31/01, revenues fell 8% to $1.79 billion. Net income fell 70% to $10.2 million. Revenues reflect a significant slow down in economic growth. Earnings also suffered from the inclusion of a $10.7 million litigation accrual charge.
