Business Summary
Rocky Mountain Chocolate Factory, Inc. is an international franchiser and confectionery manufacturer. The Company manufactures an extensive line of chocolate candies and other confectionery products. As of April 30, 2001, there were eight Company-owned and 213 franchised Rocky Mountain Chocolate Factory stores operating in 40 states, Canada, Guam and the United Arab Emirates. Unlike most other confectionery stores, each Rocky Mountain Chocolate Factory store prepares certain products, including fudge and caramel apples, in the store. The Company currently establishes Rocky Mountain Chocolate Factory stores in three primary environments: factory outlet malls, tourist areas and regional malls. Each of these environments has a number of attractive features, including high levels of foot traffic.

Financial Summary
RMCF is a manufacturer, international franchiser, and retail operator. The Company manufactures an extensive line of premium chocolate candies and other confectionary products for sale at 30 Company-owned and 196 franchised stores. For the three months ended 5/31/01, revenues fell 19% to $4.2 million. Net income rose 60% to $351 thousand. Results reflect a decrease in average number of stores in operation, offset by lower retail operating expenses.
