Winmill & Co., Inc. is a holding company with five principal subsidiaries, including CEF Advisers Inc., (CEF), Investor Service Center Inc. (ISC), Midas Management Corporation (MMC), Performance Properties Inc. and Hanover Direct Advertising Company Inc. (Hanover Direct). MMC and CEF act as investment managers to open-end and closed-end management investment companies. ISC is registered with the SEC as a broker/dealer, acts as the principal distributor for the open-end Funds and may engage in proprietary trading. Performance Properties was organized to purchase and renovate suburban office buildings. Hanover Direct acts as an advertising agency, which places advertising for ISC on behalf of the Funds.

Financial Summary
Winmill and Co., Inc., is a holding company, which through its subsidiaries provides investment management distribution and shareholder administration services for the Bull and Bear Funds, Midas Funds, and Rockwood Funds. For the six months ended 6/30/01, revenues fell 22% to $1.5 million. Net income fell 53% to $129 thousand. Results reflect a decrease in net realized and unrealized gain on investments, offset by lower fulfillment and employee costs.
