Business Summary
Hydrogenics Corporation designs, develops and manufactures proton-exchange membrane (PEM) fuel cell automated test stations. The Company's test stations are used to aid in the design, development and manufacture of PEM fuel cell systems. A PEM fuel cell system is a power generator that produces electricity through an electrochemical reaction of hydrogen and oxygen with the principal by-products being heat and water. A PEM fuel cell system is comprised of three major sets of components: a hydrogen fuel processor, which derives hydrogen from fuels such as propane or natural gas; a fuel cell or stack of fuel cells; and power conditioning equipment, which regulates the type and level of power transferred from the fuel cell. The other components and subsystems of a fuel cell system are known in its industry as the "balance of plant" of a fuel cell system.

Financial Summary
HYGS designs, develops and manufactures proton exchange membrane, fuel cell automated test stations, used to simulate, monitor and control the effect of power load, temperature, pressure and other variables on fuel cell performance. For the three months ended 3/31/01, revenues fell 60% to $656 thousand. Net income according to U.S. GAAP totaled $2.1 million vs. a loss of $1.1 million. Results reflect completion of a significant supply contract, offset by exchange gains.
