MemberWorks, Inc., doing business as CardMember Publishing Corporation, designs and manages membership programs providing benefits to members, organizations offering the programs, and vendors whose products and services are offered through the programs. The Company addresses the needs of organizations seeking to leverage the expertise of an outside provider in offering these programs. Clients also benefit because the programs are designed to strengthen the relationship between clients and their customers. Members save time by purchasing goods and services and obtaining information over the telephone or the Internet. Members also benefit because the vendors agree to allow discounts on products and services not generally available to non-members. The Company's programs are marketed to customers through arrangements with its client organizations including banks, retailers, oil companies, mortgage companies, direct response television companies, catalog companies and e-commerce companies.

MBRS provides innovative membership service programs that address the needs of organizations seeking to leverage the expertise of an outside provider in offering programs to enhance relationships between businesses and customers. For the fiscal year ended 6/30/01, revenues rose 44% to $475.7 million. Net loss before act'g change totaled $26.8 million vs. an income of $10.3 million. Results reflect strong growth of membership base and program fees, offset by higher marketing expenses.
