Sunterra Corporation is the world's largest vacation ownership company, as measured by resort locations and owner families. As of March 15, 2000, Sunterra had 90 resort locations in North America, Europe, the Caribbean and Japan, and approximately 300,000 vacation owner families. The Company's operations consist of marketing and selling to the public vacation ownership interests that entitle the buyer to use a fully-furnished vacation residence, generally for a one-week period each year in perpetuity; and vacation points, which may be redeemed for occupancy rights for varying lengths of stay at participating resort locations. The Company's operations also consist of acquiring, developing and operating vacation ownership resorts; operating its Club Sunterra membership program; providing consumer financing to individual purchasers for the purchase of vacation intervals and vacation points; and providing resort rental, management, maintenance and collection services.

Financial Summary
Sunterra Corporation, through its subsidiaries, is engaged in the sale and financing of vacation ownership interests in its resorts. For the three months ended 3/00, revenues decreased 14% to $98.1 million. Net loss totaled $15.6 million vs. an income of $10 million. Results reflect decreased vacation interests sales, the impact of fixed marketing costs, high telemarketing costs, and the inclusion of a $8.9 million in restructuring and asset write-downs.
