DNB Financial Corp. is the holding company for The Downingtown National Bank (the Bank). The Bank is a full-service commercial bank, providing a wide range of services to individuals and small to medium-sized businesses in its southeastern Pennsylvania market area. Bank services include accepting time, demand and savings deposits; and making secured and unsecured commercial, real estate and consumer loans. In addition, the Bank has one limited service branch and a full-service Trust and Investment Group. As of December 31, 2000, the Bank had total assets of $356.7 million, total deposits of $290.8 million and total stockholders' equity of $23.2 million.

Financial Summary
DNB Financial is a bank holding company for The Downingtown National Bank. For the six months ended 6/30/01, interest income rose 11% to $12.4 million. Net interest income after loan loss provision fell 1% to $5.4 million. Net income fell 8% to $1.2 million. Net interest income reflects increased volume of loans and investment securities, offset by increases in average deposits and borrowings. Earnings were offset by higher salaries and benefits expenses.
