Business Summary
Bandag, Inc. has two business segments: the manufacture and sale of precured tread rubber, equipment and supplies for retreading tires (the Traditional Business) and the sale and maintenance of new and retread tires to principally commercial and industrial customers through its wholly owned subsidiary Tire Distribution Systems, Inc. (TDS). The Traditional Business is engaged primarily in the production and sale of precured tread rubber and equipment used by its franchisees for the retreading of tires for trucks, buses, light commercial trucks, industrial equipment, off-the-road equipment and passenger cars. Bandag specializes in a patented cold-bonding retreading process that it introduced to the United States in 1957. TDS, which provides new and retread tire products and tire management services to national, regional and local fleet transportation companies, operates 43 Bandag franchise and manufacturing locations and 108 commercial, retail and wholesale outlets in 17 states.

Financial Summary
Bandag engages in the manufacture and sales of precured tread rubber, equipment and supplies for retreading tires and the sale and maintenance of new and retread tires to commercial and industrial customers. For the six months ended 6/30/01, revenues fell 4% to $462.8 million. Net income fell 57% to $11.8 million. Revenues reflect declined retread volume in North America. Net income also reflects a lower gross profit margin due to higher material costs.
