Business Summary
Owosso Corporation designs, manufactures and distributes engineered component products, primarily motors and heat exchange coils. The Company's four operating segments are Motors, Coils, Agricultural Equipment and Other. The Company's Motors segment manufactures fractional and integral horsepower motors and includes Stature Electric, Inc., Motor Products - Owosso Corporation and Motor Products - Ohio. The Company's Coils segment manufactures heat exchange coils and consists of Astro Air Coils, Inc. and Astro Air UK, Ltd. During 1998, Owosso initiated the disposition of its businesses included in the Agricultural Equipment segment in order to focus its resources on expanding its motor and coil companies. The Company's Other segment includes Dura-Bond Bearing Company and M.H. Rhodes, Inc. Dura-Bond was sold in November 2000.

Financial Summary
OWOS is a diversified manufacturer of motors, heat transfer coils, replacement cam shaft bearings, all-aluminum horse trailers and agricultural equipment. For the 26 weeks ended 4/29/01, sales fell 30% to $42.9 million. Net loss from continuing operations, before accounting change and applicable to Common rose from $766 thousand to $2.9 million. Revenues reflect the sale of Dura-Bond and lower sales from the Coils and Cramer segments. Higher loss reflects lower gross margins and a $700 thousand asset writedown.
