Business Summary
Valspar Corporation is a multinational paint and coatings manufacturer that has two business segments, Coatings and Coating Intermediates. The Company manufactures and distributes a broad portfolio of coatings products. The Architectural, Automotive and Specialty (AAS) product line includes interior and exterior decorative paints and aerosols, automotive and fleet refinish coatings and high performance floor coatings. The Packaging product line includes coatings and inks for rigid packaging containers. The Industrial product line includes decorative and protective coatings for metal, wood and plastic substrates. Coating Intermediates, primarily resins and colorants, are sold to the Company and to other coatings manufacturers. In December 2000, the Company acquired Lilly Industries, Inc., a company that manufactures and distributes a wide variety of industrial coatings products.

Financial Summary
Valspar Corp., a multinational paint and coatings manufacturer, manufactures and distributes a broad portfolio of coatings products. For the six months ended 4/27/01, sales rose 19% to $850.7 million. Net income fell 36% to $23.5 million. Revenues reflect increased sales driven by the acquisition of Lilly Industries. Earnings were offset by the slowdown in the economy, an increase in interest expense and the absence of a $1.2 million gain from restructuring.
