Provident Financial has not engaged in any significant activity other than holding the stock of the Savings Bank. The Savings Bank is a financial services company committed to serving consumers and small- to mid-sized businesses in Southern California. The Savings Bank conducts its business operations as Provident Bank, Provident Bank Mortgage and through its subsidiary, Provident Financial Corp. The business activities of the Company consist of community banking and mortgage banking.

Financial Summary
PROV, is a holding company for Provident Savings Bank, a federal stock savings bank. For the fiscal year ended 6/30/01, total interest income increased 4% to $80.8 million. Net interest income after loan loss provision decreased 8% to $26.3 million. Net income increased 22% to $8.9 million. Net interest income reflects higher average interest-earning assets, offset by decreased net interest margin. Net income reflects an increase in gains on the sale of loans.
