VersaTech, Inc., formerly D.H. Marketing & Consulting, Inc., is focused on the products of its wholly owned subsidiaries, Universal Network, Inc. and LongerLiving.com, Inc. The Company's Network Marketing Division is the main focus of the Universal Network subsidiary. Universal Network is engaged in the sale and distribution of fine art, jewelry, bank notes and other collectables. In 1998, the Company added consumable products such as skin care, juice and an all-natural dietary supplement. The intent of LongerLiving.com is to become a provider of quality content covering anti-aging advances and health on the Internet. In 2001, the Company plans to continue to market its flagship product, UniTropin (human growth hormone) Formula Plus on its own Websites, www.unitropin.com and www.tryuni.com. Unitropin is a proprietary label mix of herbs, vitamins and adaptogens that the Company anticipates will increase the body's own production of human growth hormone, which declines as humans age.

Financial Summary
VITC's focus is divided between the Collectibles Division and the newly formed, wholly owned subsidiary LongerLiving.com. LongerLiving.com is an Internet community providing anti-aging and health information to consumers. For the six months ended 6/01, revenues rose 10% to $55 thousand. Net income totalled $5 thousand vs. a loss of $90 thousand. Revenues reflect the change of the business plan. Net income also reflects decreased general and administrative expenses.
