Business Summary
U.S. Industries, Inc. manufactures and distributes a broad range of building and home products, consumer products and industrial products through three business segments. The Bath and Plumbing Products segment manufactures and distributes a full line of bath and plumbing products under the brand names Jacuzzi, Eljer and Zurn. Lighting Corporation of America manufactures and distributes indoor and outdoor lighting fixtures for markets in North America and Europe. Products are sold under the Kim, Spaulding, Moldcast, Architectural Area Lighting, Siemens, Siteco, Columbia, Prescolite and Dual Lite brand names. The Hardware and Tools segment manufactures and distributes hand tools, lawn and garden tools, wheeled goods and industrial products through Ames True Temper, Spear & Jackson and other companies.

Financial Summary
USI manufactures and distributes a broad range of consumer and industrial products through its three divisions: USI Bath and Plumbing, Lighting Corp. of America, and USI Hardware and Tools. For the nine months ended 6/30/01, net sales fell 26% to $1.81 billion. Net loss from continuing operations totaled $241.7 million, vs. an income of $90.0 million. Results reflect the disposal of the Diversified business segment, $221.5 million in impairment charges and unfavorable currency translation.
