Business Summary
Plains Resources Inc. is an independent energy company that is engaged in two related lines of business. The Company's first line of business, which it refers to as "upstream," acquires, exploits, develops, explores and produces crude oil and natural gas. The Company's second line of business, which it refers to as "midstream," is engaged in the marketing, transportation and terminalling of crude oil. Terminals are facilities where crude oil is transferred to or from storage or a transportation system, such as a pipeline, to another transportation system, such as trucks or another pipeline. The operation of these facilities is called "terminalling." The Company conducts this second line of business through its majority ownership in Plains All American Pipeline L.P.

Financial Summary
Plains Resources acquires, exploits, develops, explores and produces oil and natural gas and markets, transports, terminals and stores crude oil. For the six months ended 6/30/01, revenues decreased 97% to $116.7 million. Net income applicable to Common before extraordinary item and acct. change totalled $94.5 million, up from $22.8 million. Revenues suffered from the absence of $3.39 billion in midstream revenues. Earnings benefitted from a $150.2 million gain on PAA units.
