On
May
7,
2001,
Valero
Energy
Corporation
(Valero)
and
UDS
entered
into
an
agreement
and
plan
of
merger,
pursuant
to
which
UDS
will
merger
with
and
into
Valero.
The
merger
is
expected
to
close
in
the
fourth
quarter
of
