Business Summary
Guidant Corporation develops emerging therapies for cardiovascular and vascular disease. Guidant offers coronary and peripheral stent systems, balloon dilatation catheters and related accessories used for opening blocked arteries; implantable defibrillator systems; implantable pacemaker systems used to manage slow or irregular heart rhythms, known as bradycardia; implantable cardiac resynchronization therapy for the treatment of heart failure; products for use in minimally invasive vascular procedures, including the treatment of abdominal aortic aneurysms; products to perform cardiac surgery procedures known as off-pump coronary revascularization with endoscopic saphenous vein harvesting, and intravascular radiotherapy systems for coronary restenosis. Guidant is a global company with principal operations in the United States, Western Europe and Japan.

Financial Summary
GDT designs, develops, manufactures and markets therapeutic medical devices for the treatment of cardiovascular and vascular diseases. For the six months ended 6/30/01, net sales increased 2% to $1.33 billion. Net income decreased 7% to $226.5 million. Revenues benefitted from growth in unit volume in the United States and the European markets. Earnings were offset by a $25 million special charge and the absence of a $10.8 million gain from a litigation settlement.
