Business Summary
Graham-Field Health Products, Inc. is a manufacturer and distributor of healthcare products for the home healthcare, medical/surgical, rehabilitation and long-term care markets in North America, Europe, Central and South America and Asia. Graham-Field's principal products and product lines include: wheelchairs and power wheelchair seating systems, mobility products and bathroom safety products, medical beds and patient room furnishings, blood pressure and diagnostic products, adult incontinence products, specialty seating products, wound care and urologicals, ostomy products, diabetic products, obstetrical supplies, nutritional supplements, therapeutic support systems and respiratory equipment and supplies. On December 27, 1999 the Company commenced a voluntary proceeding pursuant to Chapter 11 of the Bankruptcy Code. The Company has filed and continues to file (as of January 12, 2001) Debtor in Possession Operating Reports on a monthly basis with the United States Bankruptcy Court.

Financial Summary
GFIHQ manufactures, markets and distributes medical, surgical and a range of other healthcare products for the home healthcare and medical/surgical markets. For the nine months ended 9/99, revenues fell 21% to $227.9 million. Net loss applicable to Common totalled $41.9 million, up from $9.2 million. Revenues suffered from intense competition in the healthcare industry. Net loss reflects the inclusion of a $10 million provision for Class Action settlement and increased interest expense.
