Business Summary
Smart & Final Inc. operates non-membership grocery stores and owns a holding company for traditional broadline foodservice distributors. At the end of fiscal year 2000, the Company operated 214 stores in Arizona, California, Florida, Idaho, Nevada, Oregon, and Washington, through its principal subsidiary, Smart & Final Stores Corporation. These stores operate under the trade names Smart & Final and United Grocers Cash & Carry. Another Company subsidiary, Smart & Final de Mexico S.A. de C.V., operates seven stores in Mexico, through a joint venture with the operators of the Calimax store chain. Smart & Final stores offer a consistent selection of approximately 10,000 food items, supplies and equipment, primarily in institutional sizes and quantities, targeted at small foodservice businesses and other customer groups. The Company also owns American Foodservice Distributors, which is a holding company for traditional broadline foodservice distributors.

Financial Summary
Smart and Final is engaged in the operation of non-membership warehouse grocery stores, serving restaurants, caterers, clubs, organizations and small businesses. For the 24 weeks ended 6/17/01, sales increased 5% to $887.8 million. Net income increased 39% to $5.3 million. Revenues reflect the increase in comparable store sales and the average comparable transaction size. Earnings benefited from lower purchase costs and a better store assortment mix.
