Business Summary
Merisel, Inc. is a distributor of computer hardware and software products and a provider of logistics and electronic services. Through its main operating subsidiary, Merisel Americas Inc. (Merisel Americas), and its subsidiaries, the Company operates a software licensing business in the United States. In addition, through a newly formed subsidiary, Optisel, Inc. (Optisel), the Company operates a logistics business that, combined with certain electronic-fulfillment-business assets acquired from Value America, the Company intends to expand to include a full range of logistics and electronic-services capabilities to offer to manufacturers, retailers and e-tailers in a broad range of industries. The Company sold its Canadian distribution business in July 2001.

Financial Summary
Merisel Inc. is a distributor of computer hardware, networking equipment and software products and a computer systems reseller. For the three months ended 3/31/01, net sales decreased 82% to $164.7 million. Net loss from continuing operations before extraordinary item applicable to Common fell 38% to $13.1 million. Revenues reflect a decline in net sales for the U.S. and Canadian distribution businesses. Lower loss was offset by decreased cost of sales and decreased S/G/A expenses.
